1. Acceptance of Terms
By accessing and using the MisterProSoft website (misterprosoft.ec) and our services, you agree to be bound by these terms and conditions. If you do not agree with any of these terms, you should not use our services.
2. Services Offered
MisterProSoft offers mobile application development services, including but not limited to:
- Native app development for iOS and Android
- Cross-platform app development with React Native
- UX/UI design
- API and backend development
- Technology consulting
- Application maintenance and support
3. Engagement Process
The engagement process includes:
- Initial consultation: Free and with no obligation
- Proposal: A detailed document covering scope, timeline and budget
- Contract: A formal agreement setting out the specific terms of the project
- Development: Execution of the project as agreed
- Delivery: Transfer of source code and assets
4. Payments and Billing
Payment terms:
- Quotes are valid for 30 days from the date of issue
- An initial payment (typically 40-50%) is required to start the project
- Payments are made according to the milestones defined in the contract
- Final payment is due before delivery of the source code
- Late payments may incur additional charges
- All prices are in US dollars (USD)
5. Intellectual Property
Once full payment for the project has been made:
- The client obtains full ownership of the code developed specifically for their project
- MisterProSoft retains the rights to its tools, frameworks and reusable components
- The client may not resell the code as a product of their own without authorization
- MisterProSoft may use the project as a reference in its portfolio (with the client's authorization)
6. Confidentiality
Both parties agree to keep confidential any sensitive information shared during the project. We sign non-disclosure agreements (NDAs) upon the client's request.
7. Warranties and Responsibilities
MisterProSoft warrants:
- Professional development following industry best practices
- Clean, maintainable and documented code
- A post-launch warranty period (generally 30-90 days)
- Fixes for bugs reported during the warranty period
We do not guarantee: approval on the App Store/Google Play (although we do everything we can), specific business results, or compatibility with future operating system versions without ongoing maintenance.
8. Modifications and Scope Changes
Changes to the project scope after initial approval may result in adjustments to timeline and cost. All significant changes require written approval from both parties.
9. Cancellation and Refunds
Cancellation policy:
- The client may cancel the project with 15 days' notice
- The initial payment is non-refundable
- Work completed up to the cancellation date will be billed
- Code developed up to the cancellation remains the property of MisterProSoft until payment in full
10. Limitation of Liability
MisterProSoft shall not be liable for any indirect, incidental or consequential damages arising from the use of, or inability to use, our services. Our total liability shall not exceed the amount paid by the client for the specific project.
11. Governing Law
These terms are governed by the laws of Ecuador. Any dispute shall be resolved in the courts of Quito, Ecuador.
